Important Notice for Cyprus-based Organisations: Confirmation of Beneficial Ownership Details for the Year 2025
On 25 August 2025, the Department of the Registrar of Companies and Intellectual Property (DRCIP) announced that all companies, partnerships, and European Public Limited Companies (SEs) registered in Cyprus must confirm their Beneficial Ownership (BO) information for the year 2025 in a period from October 1 to December 31, 2025.
Between these dates, organisations are required to log into the Beneficial Ownership Register (BOR) and:
- Confirm the details of their Beneficial Owners (BOs) or Senior Management Officials (SMOs)
- Complete any necessary due diligence, depending on the entity’s legal structure.
If an entity initiates a new registration, modifies existing BO or SMO details, or performs due diligence updates during the confirmation period, in that case, those actions must be completed before submitting the annual confirmation.
The confirmation must be completed once during the designated period. If any changes occur after confirmation, no further confirmation is required until the next annual cycle.
Failure to confirm beneficial ownership details by December 31, 2025, will result in financial penalties:
- €100 for the first day of non-compliance
- €50 for each additional day
- Up to a maximum of €5,000.
These fines apply regardless of any criminal liability or legal proceedings.
